This strategic move is part of Zinzino’s growth plans to enhance personal health and well-being globally through innovative biotechnology and a groundbreaking product lineup distributed via direct sales.
Xellis offers a range of natural products in wellness, nutrition, and cosmetics, all based on the microalgae spirulina produced in-house. With a focus on individual advising and customized solutions, Zinzino and Xellis aim to transform the direct sales experience in the health and wellness industry.
The acquisition includes Xellis’s distributor organization, product lineup, and intellectual property rights. The operation, which generated approximately 8 million EUR in turnover last year, is expected to drive strong growth through synergies within the combined networks. With favorable gross margins and profitability prospects, the partnership is poised for success leveraging Zinzino’s technical platform and established organization.
The purchase agreement involves a fixed price of 2 million EUR, split evenly between cash and newly issued Zinzino shares. Additional purchase prices based on sales performance from 2024 to 2029 could amount to a total of 4.0 million EUR, potentially reaching up to 8.0 million EUR. These additional payments will be made in newly issued Zinzino shares. The cash portion of the deal will be financed internally.
